1. Acceptance of Terms
These Terms and Conditions (the “Terms”) govern your access to and use of urgent-care-online.com (the “Site”) and the services offered through the Site (the “Services”), operated by Optimal Health Network LLC, doing business as Urgent Care Online (“Urgent Care Online,” “we,” “us,” or “our”). By accessing or using the Site or Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or Services.
2. What Urgent Care Online Is
Urgent Care Online is a patient connection platform. Our role is to help consumers find and connect with independently licensed healthcare providers who offer telehealth consultations. When you submit information through our forms, we match you with one or more licensed providers you can be connected with through our platform who may contact you to schedule and conduct a telehealth consultation.
3. What Urgent Care Online Is NOT
Urgent Care Online is not a medical provider, medical practice, clinic, pharmacy, or insurance company. Urgent Care Online:
- Does not practice medicine.
- Does not provide medical advice, diagnosis, or treatment.
- Does not prescribe medications.
- Does not employ physicians or other healthcare providers.
- Does not guarantee the availability of any provider, any specific treatment outcome, or that a provider will prescribe any particular medication.
All medical services, evaluations, diagnoses, treatments, and prescription decisions are provided solely by the independently licensed providers you can be connected with through our platform, based on each provider’s own professional judgment and subject to applicable law. Your relationship for medical care is with the provider, not with Urgent Care Online.
4. Not for Emergencies
If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. The Services are not appropriate for emergency medical situations. Urgent Care Online and the providers in its network do not provide emergency medical services. You should not delay seeking emergency care because you are using or planning to use the Services.
5. Eligibility
You must be at least 18 years old to use the Services on your own behalf. If you are using the Services on behalf of a minor for whom you are the parent or legal guardian, you represent that you have the legal authority to do so. The Services are intended for United States residents only.
6. How the Services Work
- You tell us about yourself. You submit your contact information and a brief description of the reason you want to speak with a provider.
- We connect you with a provider. We match you with one or more independently licensed providers you can be connected with through our platform based on the information you submit and their availability.
- The provider contacts you. The provider reaches out to schedule and conduct a telehealth consultation. The terms of that consultation, including fees, insurance acceptance, scope of services, and any follow-up, are determined by the provider.
- Your relationship with the provider. If you agree to a consultation, your relationship for medical services is with the provider, not with Urgent Care Online. Any medical records created during the consultation belong to and are maintained by the provider in accordance with the provider’s own policies and applicable law.
7. No Medical Advice
Nothing on the Site or in the Services is intended to be, or should be interpreted as, medical advice. The Site and Services are not a substitute for professional medical care. Do not disregard, avoid, or delay obtaining medical advice from a qualified healthcare provider because of anything you have read on the Site. Reliance on any information provided on the Site is solely at your own risk.
8. No Guarantee of Services
We do not guarantee that a provider will be available, that a consultation will occur, that any particular treatment or prescription will be recommended or provided, or that the Services will meet your expectations. Provider availability varies by state, by provider, and by time of day. Whether a provider offers a particular service, accepts particular insurance, or prescribes a particular medication is entirely at that provider’s discretion.
9. Consent to Communications
By providing your contact information and affirmatively consenting through our forms, you agree that Urgent Care Online may contact you at the phone number and email address you provide for purposes related to connecting you with a licensed telehealth provider. This may include calls and text messages sent by automatic telephone dialing system, artificial or pre-recorded voice, and SMS. Consent is not a condition of receiving any service. Message and data rates may apply. You may opt out of text messages by replying STOP and opt out of calls by telling our representative during a call or by contacting us at [email protected].
10. User Conduct
You agree that you will not:
- Provide false, inaccurate, or misleading information.
- Use the Services to harass, abuse, or harm another person, including any provider or Urgent Care Online personnel.
- Use the Services for any unlawful purpose or to violate any applicable law or regulation.
- Attempt to gain unauthorized access to the Site, other user accounts, or our systems.
- Interfere with or disrupt the Services.
- Use the Services to transmit any virus, malware, or other malicious code.
- Scrape, crawl, or reverse-engineer any portion of the Site or Services.
- Use the Services to send unsolicited commercial communications.
11. Intellectual Property
The Site, Services, and all content on them, including text, graphics, logos, images, and software, are owned by Optimal Health Network LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any of this content without our prior written consent.
12. Third-Party Links and Services
The Site may contain links to third-party websites, services, or content. These links are provided for convenience only. We do not control and are not responsible for third-party websites or services, their content, or their privacy practices. Your use of third-party websites and services is at your own risk.
13. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, URGENT CARE ONLINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
URGENT CARE ONLINE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT ANY PROVIDER WILL BE AVAILABLE; OR THAT ANY PARTICULAR MEDICAL OUTCOME WILL BE ACHIEVED. URGENT CARE ONLINE MAKES NO WARRANTIES ABOUT THE QUALITY, ACCURACY, OR RELIABILITY OF ANY MEDICAL SERVICES PROVIDED BY THE providers you can be connected with through our platform. YOUR RECOURSE FOR ANY CLAIM ARISING OUT OF MEDICAL SERVICES IS AGAINST THE PROVIDER, NOT URGENT CARE ONLINE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL URGENT CARE ONLINE, OPTIMAL HEALTH NETWORK LLC, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to indemnify, defend, and hold harmless Urgent Care Online, Optimal Health Network LLC, and their officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of another person, or (d) any false or inaccurate information you provide.
16. Binding Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any communications you receive from Urgent Care Online, or your relationship with Urgent Care Online (a “Dispute”) shall be resolved exclusively through final and binding individual arbitration, except that either party may bring claims in small claims court if the claims qualify.
The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in the state of Delaware or, at your election, in the county where you reside. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You and Urgent Care Online agree that any Dispute shall be brought only in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
Right to Opt Out. You may opt out of this arbitration agreement by sending a written notice to [email protected] within 30 days after you first agree to these Terms. The notice must include your name, the phone number you used with the Services, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
If this arbitration provision is found unenforceable in any respect, that finding shall not affect the enforceability of the remaining provisions.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 16, any action or proceeding that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
18. Termination
We may suspend or terminate your access to the Site or Services at any time, for any reason or no reason, with or without notice. Upon termination, your right to use the Site and Services will cease immediately. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and arbitration) will survive.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last Updated” date and post the updated Terms on the Site. If we make material changes, we will provide notice through the Site, by email, or by other appropriate means before the changes take effect. Continued use of the Services after the updated Terms are posted constitutes your acceptance of the changes.
20. Severability; Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy and Consumer Health Data Privacy Policy, constitute the entire agreement between you and Urgent Care Online regarding the Services and supersede any prior agreements.
